These Terms and Conditions (“Terms”) govern your use of the services provided by Innoligo Ltd, a UK-based Managed Service Provider (MSP). By using our services, you agree to these Terms. If you do not agree, you must not use our services.
1. Introduction
These Terms outline the rules and responsibilities for using Innoligo Ltd’s services. By using our services, you confirm that you accept these Terms.
2. Services Provided
Innoligo Ltd provides managed IT services, including Cloud Managed Services, Migration Services, Cybersecurity Services, Network management, and data backup and recovery. Details of the specific services will be set out in your individual agreement.
We aim to provide reliable services, but we cannot guarantee uninterrupted or error-free operation. We accept no liability for interruptions or errors.
3. Payment and Fees
Payment terms and fees will be detailed in your agreement. All fees must be paid in accordance with those terms. Unless otherwise agreed, all payments are due in advance.
Innoligo Ltd does not offer refunds for services provided.
4. Data Protection and Confidentiality
Innoligo takes the security and confidentiality of client data very seriously. We implement industry-standard security measures, including firewalls, encryption, and secure servers, to protect your data against unauthorised access, alteration, disclosure, or destruction.
Innoligo will not disclose your data to any third party without your explicit consent, unless required by law or to comply with legal obligations.
5. Service Level Agreement (SLA)
Any agreed service levels will be specified in your agreement. If you experience service issues, please contact our support team. We will aim to resolve issues promptly.
6. Intellectual Property
All intellectual property rights in materials and software provided by Innoligo Ltd remain our property. You may not use our intellectual property beyond the scope of your agreement.
7. Termination
We may terminate your services if you breach these Terms. We will notify you in writing of any termination.
8. Liability and Indemnity
Innoligo shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your use of Innoligo Services, including but not limited to loss of profits, loss of data, or business interruption, even if Innoligo has been advised of the possibility of such damages.
Indemnity
You agree to indemnify, defend, and hold harmless Innoligo Ltd, along with its directors, officers, employees, agents, licensors, and suppliers, against any claims, actions, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal and professional fees) arising from your breach of these Terms of Service or your misuse of the Services.
9. Dispute Resolution
Any disputes arising out of or in connection with these TOS shall be resolved through arbitration or mediation, as mutually agreed by both parties.
10. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Miscellaneous
If any part of these Terms is deemed invalid, the remaining provisions shall continue in effect. Our failure to enforce any provision shall not be a waiver of that provision.
We shall not be liable for delays caused by events beyond our reasonable control (force majeure).
